Terms of Service

These Terms of Service ("Terms") govern your use of the website and the services provided by Ferguson Smart Systems ("Ferguson Smart Systems," "we," "us," or "our"). By accessing our website, requesting a quote, or engaging our services, you agree to these Terms. Specific projects may also be governed by a separate written quote, proposal, or statement of work, which together with these Terms forms the agreement between us.
1. Services
Ferguson Smart Systems provides network infrastructure, smart home systems, security and access systems, custom application development, server and business-application deployments, and related support services for homes and businesses. The specific scope, deliverables, and pricing for any engagement will be described in a written quote, proposal, or statement of work agreed between you and us ("Service Agreement").
2. Quotes and Estimates
Quotes and estimates are based on the information available at the time and are valid for the period stated, or for 30 days if no period is stated. Work that falls outside an agreed scope ("out-of-scope work") may require a revised quote or be billed at our applicable hourly rate, with your approval.
3. Fees and Payment
- Project work is billed according to the agreed Service Agreement, typically invoiced upon completion of the agreed scope or at agreed milestones.
- Hourly and consulting work is billed at the agreed hourly rate and itemized on each invoice.
- Unless stated otherwise, invoices are due within 14 days of the invoice date.
- Payments are processed securely through our payment processor, Stripe. By paying an invoice you agree to Stripe's applicable terms.
- Overdue amounts may be subject to a reasonable late fee and suspension of services until the balance is paid.
4. Client Responsibilities
You agree to:
- Provide timely access, information, credentials, and approvals reasonably needed to perform the work;
- Ensure you have the right to authorize work on the systems, networks, and accounts involved;
- Maintain your own backups of critical data unless backup is part of the agreed scope; and
- Use any software, hardware, or services we provide in accordance with applicable licenses and laws.
5. Third-Party Products and Services
Engagements may involve third-party hardware, software, or cloud services (for example, Microsoft, networking vendors, or hosting providers). Those products are governed by their own terms and warranties, and we are not responsible for the acts, omissions, pricing, or availability of third-party providers.
6. Warranties and Disclaimers
We will perform our services in a professional and workmanlike manner. Except as expressly stated in a Service Agreement, our services and this website are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that systems will be uninterrupted, error-free, or completely secure.
7. Limitation of Liability
To the maximum extent permitted by law, Ferguson Smart Systems will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising out of or related to our services or these Terms. Our total aggregate liability for any claim will not exceed the amount you paid to us for the specific services giving rise to the claim during the three (3) months preceding the event.
8. Confidentiality
Each party agrees to protect the other's confidential information and to use it only as needed to perform or receive the services. This obligation does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
9. Intellectual Property
Upon full payment, you own the custom deliverables we create specifically for you under a Service Agreement, except for any pre-existing tools, libraries, or know-how we use to create them, which remain ours and are licensed to you for use as part of the deliverable. Open-source and third-party components remain subject to their own licenses.
10. Cancellation and Refunds
Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms.
11. Termination
Either party may terminate an engagement with written notice if the other party materially breaches these Terms or a Service Agreement and does not cure the breach within a reasonable time. On termination, you agree to pay for all services performed and costs incurred up to the effective date of termination.
12. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Hamilton County, Ohio.
13. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above indicates when they were last revised. Your continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
